PETER MUGIMBA is a legal expert with over 28 years of experience with general management and hands-on legal skills as an Advocate and Commissioner for Oaths. This is mainly in the areas of Commercial Law, Company Law practice, Litigation, Succession and family law practice and Real Estate transactions. This includes joint venture agreements, mergers and acquisitions, distribution agreements, formation of companies, shareholder agreements, restructuring companies, litigation, purchase agreements plus conveyancing and mortgages within Real Estate law. Also familiar with local, regional and international construction contracts, including FIDIC agreements.Have over 15 years’ experience in Governance which includes; Chairman of the Monitoring and Evaluation Committee for the Governing Council of USJM, a member of the Governing Counsel for the University of St. Joseph Mbarara and a Company Secretary for a number of private companies including Sensal Systems Ltd, Afromix Construction Ltd, Ataco Freight Services Ltd, Fort Boutique Hotel Ltd and Alumalum Rural Investments Ltd.Has over 20 years management experience in the legal industry which includes 10 years (Jan 2014 to-date) as a Partner at Alliance Advocates he is specifically in charge of human resources which includes training and support and also maintained client relationships and got new clients onboard. Peter also spent 8 years as Managing Partner of Mugimba & Tibesigwa Advocates (2006-2013) where he was in-charge of the overall management decisions which included strategy, financial management and staff supervision. Also spent 6 years (2000-2006) as Legal Counsel at National Social Security Fund where he worked on various construction agreements for large scale construction projects for NSSF, worked on mortgage financing and planned housing schemes and carried out various legal audits and due diligence on potential business partners and suppliers for NSSF. Also, a member of Uganda Law Society and the East African Law Society and have been a public prosecutor licensed by the DPP for enforcement of the NSSF Act.Peter worked on a number of key projects during my legal career which include;
• Resource person for the Social Security Stakeholders Transition Group (STG) that was commissioned by the Ministry of Gender, Labour and Social Development in 2002-4, which included Preparation of minutes for plenary meetings, organizing workshops countrywide for stakeholders’ consultations and participating in the preparation of the final Report that was submitted to the Minister for Gender, Labor and Social Development.• Secretary for the NSSF Staff Home Ownership Scheme, the internal mortgage scheme for NSSF employees, which involved; ensuring that the applications are processed and made ready for the Committee, carrying detailed verification of land titles, arranging for Committee meetings, preparing appraisal reports for each applicant, coordinating the services of other professionals like valuers, architects, engineers and accountants in relation to loan application, taking and preparing minutes, preparing the legal documents for approved mortgages, including Loan Agreements, Mortgage Deeds, Sale Agreements and related Conveyance matters, preparing the legal documents for approved mortgages, including Loan Agreements, Mortgage Deeds, Sale Agreements and related Conveyance matters, initiating the implementation of the decisions by preparing the necessary Agreements and enforcement of recovery of defaulting loan accounts• Venture Capital mobilization documentation with a proposed project between NSSF, USE and Africa Millennium Fund (AMF) that was to be partly funded by OPIC. The fund did not take off because the AMF did not obtain the letter of acceptance from OPIC. This involved preparation and/or reviewing the complex legal documents in conjunction with the experts from USA.• Company Secretary for Victoria Property Developments Ltd, the Joint Venture Company between Premier Developments Ltd and SBI International Holdings NV, got exposed to the mechanics of international negotiations and planning for large housing projects. We visited Israel, where I interacted with experts in large housing projects and saw different types of housing schemes, ranging from low cost, middle income, and upper class gated communities. Also participated in the review of the Master Plan for the Lubowa housing project• Legal Advisor for the Nsimbe Housing Project, got involved in the preparation of the necessary legal documents in conjunction with the external lawyers, and attendance of Board meetings for the Joint Venture Company known as Nsimbe Holdings Ltd between NSSF (through the special purpose vehicle (SPV) known as Premier Developments Ltd) and Mugoya Estates Ltd.• Done extensive legal research in preparation for the large housing schemes for NSSF at Lubowa and Nsimbe, which had not taken off when I left in Dec 2006.• While working with Byenkya, Kihika & Co. Advocates, participated in carrying out extensive legal research and due diligence on behalf of MTN before it started its operations in Uganda, 1998. • As Legal Counsel at NSSF, I carried out various legal audits and due diligence on potential business partners and suppliers for NSSF.
